By accessing or using StartupDevKit, creating an account, starting a free trial, purchasing a membership, using the AI Startup OS, downloading resources, or interacting with our website or platform, you agree to these Terms of Use.

If you do not agree to these Terms, you should not use StartupDevKit.

1. About StartupDevKit

StartupDevKit is an online startup platform for founders. Our services may include, but are not limited to:

The AI Startup OS and related AI-powered planning tools
Online incubator and accelerator programs
Startup courses and learning tracks
Startup kits, templates, worksheets, and downloadable resources
Resource libraries, including specialized startup, growth, marketing, and business-building content
Startup tools directories and curated third-party resource lists
Member dashboards and gated content areas
Free, trial, and paid memberships
Email onboarding, educational, and product-related communications
Mentoring, consulting, or advisory services, if offered
Member perks, partner offers, or third-party benefits, if available

StartupDevKit may update, modify, add, remove, reorganize, or discontinue any feature, service, content area, resource, membership benefit, or platform component at any time.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account, purchase a membership, or use paid StartupDevKit services.

By using StartupDevKit, you represent that the information you provide is accurate, current, and complete, and that you will update it as needed.

3. Accounts and Security

Some features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree not to:

Share your login credentials with unauthorized users
Allow others to access your account unless they are authorized members of your team plan
Use another person’s account without permission
Create accounts using false or misleading information
Attempt to bypass account limits, membership restrictions, or usage limits

StartupDevKit may suspend, restrict, or terminate access if we believe an account is being misused, shared improperly, used for unauthorized access, or used in violation of these Terms.

4. Memberships, Free Trials, Payments, and Billing

StartupDevKit may offer free memberships, free trials, paid memberships, team plans, premium plans, lifetime plans, promotional plans, and other access levels.

Access to content, courses, tools, templates, AI features, libraries, kits, and platform functionality depends on your active membership level.

Paid Memberships

When you purchase a paid membership, you agree to pay the price shown at checkout, including any applicable taxes or fees.

Paid memberships may renew automatically unless canceled before the next billing date. Renewal terms, billing frequency, trial terms, and pricing will be disclosed at or before checkout.

Free Trials

StartupDevKit may offer free trials for certain memberships. Trial length, eligibility, access level, and available features may vary.

You will not be charged for a free trial.

Cancellations

You may cancel your membership through your account dashboard, through the available cancellation method on the website, or by contacting StartupDevKit support.

Canceling a subscription prevents future renewals. Unless otherwise stated, canceling does not automatically provide a refund for amounts already paid, and you may retain access until the end of your current billing period.

Pricing and Promotions

StartupDevKit may offer discounts, coupons, limited-time pricing, grandfathered plans, free trials, or promotional offers. These offers may have separate terms and may be modified or discontinued at any time.

If you purchase a plan at a promotional rate, your renewal pricing will be determined by the terms disclosed at checkout or in the applicable promotion. Your discounted renewal rate will not occur indefinitely and may be charged full price at the next billing term.

5. Refunds

Refund eligibility may vary based on the membership type, product, promotion, trial status, digital access, and whether partner benefits or member perks have been activated.

StartupDevKit may decline refunds in circumstances including, but not limited to:

Purchases made with certain discount codes or promotional offers
Purchases following a free trial
Purchases following a demo
Accounts that have activated third-party benefits or partner perks
Excessive use, downloading, or consumption of member-only content
Violations of these Terms
Digital products or services that were clearly delivered or accessed

Any published Refund Policy on StartupDevKit.com is incorporated into these Terms by reference. If there is a conflict between these Terms and a separate Refund Policy, the Refund Policy will govern refund-specific questions.

6. Platform Access and Changes

StartupDevKit is an evolving digital platform. We may update, improve, replace, remove, reorganize, restrict, or discontinue content, features, tools, courses, resources, AI functionality, membership benefits, or platform components.

We are not obligated to maintain any specific feature, resource, tool, lesson, course, template, library item, partner perk, or third-party listing indefinitely.

Certain resources may move between free, trial, paid, premium, or restricted access levels.

We may also impose or modify usage limits, including limits on AI usage, roadmap generations, downloads, account seats, saved items, or other platform activity.

7. AI Startup OS and AI-Generated Outputs

The AI Startup OS and related AI-powered features may generate startup roadmaps, summaries, recommendations, strategic suggestions, planning outputs, business model guidance, validation guidance, growth suggestions, and other AI-assisted materials.

AI-generated outputs are provided for educational, informational, and strategic planning purposes only.

You understand and agree that:

AI outputs may contain errors, omissions, assumptions, outdated information, or incomplete recommendations
AI outputs should be reviewed carefully before being used
You are solely responsible for evaluating, validating, modifying, and deciding whether to act on any AI output
StartupDevKit does not guarantee that AI outputs will be accurate, complete, profitable, legally compliant, investor-ready, or suitable for your specific business
StartupDevKit does not guarantee funding, revenue, product-market fit, customer acquisition, validation success, launch success, or business success

You should not rely on AI-generated outputs as legal, tax, accounting, financial, investment, medical, regulatory, or professional advice.

You should not submit confidential, highly sensitive, regulated, legally privileged, or proprietary information into AI-powered tools unless you are comfortable doing so under our Privacy Policy and any applicable third-party AI processing terms.

8. Educational Use and No Professional Advice

StartupDevKit provides educational, informational, strategic, and business-building resources.

StartupDevKit does not provide legal, tax, accounting, investment, medical, financial, employment, regulatory, or other licensed professional advice.

Nothing on StartupDevKit creates an attorney-client, advisor-client, fiduciary, employment, agency, partnership, joint venture, or investor relationship.

You are responsible for consulting qualified professionals before making legal, financial, tax, accounting, investment, employment, regulatory, or other high-stakes decisions.

9. No Guarantee of Results

StartupDevKit does not offer “get rich quick” programs and does not guarantee any specific outcome.

We do not guarantee that use of StartupDevKit will result in:

Startup validation
Revenue
Profit
Funding
Investment
Investor interest
Product-market fit
Customers
Growth
Successful launch
Business survival
Improved valuation
Reduced risk
Any specific personal, professional, or financial result

Your results depend on many factors outside of StartupDevKit’s control, including your idea, execution, market, timing, team, financial resources, skill level, competition, customer demand, and external conditions.

10. User Content, Venture Inputs, and Submitted Information

You may submit information to StartupDevKit, including business ideas, venture details, AI Startup OS inputs, roadmap inputs, form submissions, comments, questions, feedback, emails, and other materials.

You retain ownership of your business ideas, venture inputs, and original content.

By submitting content to StartupDevKit, you grant StartupDevKit a limited, non-exclusive, worldwide license to use, process, store, display, reproduce, and transmit that content as needed to:

Provide the platform and services
Generate AI-powered outputs
Maintain your account
Save and display your platform data
Provide customer support
Improve and troubleshoot the platform
Maintain security and prevent misuse
Analyze aggregated or anonymized platform usage
Comply with legal obligations

StartupDevKit will not claim ownership of your startup idea merely because you entered it into the platform.

StartupDevKit may use aggregated, anonymized, or de-identified data to improve services, analyze platform usage, develop features, and understand user behavior.

We will not publish your private venture inputs, private AI Startup OS entries, or private account information as testimonials, case studies, or marketing materials without permission, unless the information was already submitted publicly by you.

11. Intellectual Property

All StartupDevKit content, materials, software, designs, frameworks, courses, lessons, templates, worksheets, startup kits, resource collections, curated libraries, AI workflows, platform structure, copy, graphics, videos, downloads, dashboards, logos, trademarks, service marks, and related materials are owned by StartupDevKit, Inc. or its licensors.

Subject to your active membership and compliance with these Terms, StartupDevKit grants you a limited, revocable, non-exclusive, non-transferable license to access and use the platform and materials for your own personal, educational, or internal business use.

You may not:

Copy, reproduce, resell, license, sublicense, distribute, publish, or exploit StartupDevKit materials
Share member-only content with unauthorized users
Use StartupDevKit content to create a competing product, course, platform, tool, directory, library, or AI system
Scrape, crawl, bulk download, or systematically extract content
Reverse engineer, copy, or imitate the AI Startup OS, platform structure, workflows, prompts, frameworks, or proprietary systems
Remove copyright, trademark, or proprietary notices
Use StartupDevKit materials for commercial redistribution without written permission

Downloadable templates and resources may be used internally for your own startup, company, or team, but may not be resold, republished, redistributed, or offered as your own product.

12. Acceptable Use

You agree not to use StartupDevKit to:

Violate any law or regulation
Infringe intellectual property, privacy, publicity, or other rights
Upload malicious code or interfere with platform security
Attempt unauthorized access to systems, accounts, data, or restricted content
Scrape, crawl, harvest, or bulk extract content or data
Circumvent payment, membership, access, or AI usage limits
Misrepresent your identity or affiliation
Share accounts outside authorized team access
Harass, threaten, abuse, defame, or harm others
Submit unlawful, deceptive, hateful, harmful, or infringing content
Use AI outputs to mislead others, violate laws, or present unsupported claims as guaranteed professional advice
Overload, damage, disrupt, or impair the platform

StartupDevKit may investigate suspected misuse and may suspend or terminate access at its discretion.

13. Team Plans

If you purchase or use a team membership, access is limited to authorized members of the same company, project, or startup team.

Team memberships may not be used to provide shared access to unrelated individuals, clients, outside organizations, public groups, or unauthorized third parties.

StartupDevKit may restrict or terminate team access if we believe a team plan is being used to bypass individual membership requirements.

14. Third-Party Resources, Links, Tools, and Partner Benefits

StartupDevKit may link to, list, mention, recommend, compare, or provide access to third-party websites, software, services, tools, communities, platforms, partner benefits, perks, integrations, or resources.

Third-party resources are provided for convenience, education, and discovery. StartupDevKit does not control third-party websites, pricing, security, availability, terms, privacy practices, product quality, or business practices.

A listing, link, mention, or inclusion in a StartupDevKit resource does not guarantee endorsement, accuracy, suitability, security, continued availability, or results.

You are responsible for evaluating third-party tools, services, offers, and websites before using or purchasing them.

Third-party benefits, perks, discounts, or partner offers may change, expire, be limited, or be subject to separate third-party terms.

15. Email Communications

By creating an account, joining a membership, starting a trial, downloading a resource, submitting a form, or subscribing to StartupDevKit communications, you may receive transactional, educational, onboarding, platform-related, and marketing emails.

Transactional emails may include account notices, billing notices, membership updates, security messages, service announcements, and other communications related to your use of StartupDevKit.

Marketing emails may include educational content, product updates, offers, announcements, and startup-building resources. You may unsubscribe from marketing emails at any time by using the unsubscribe link included in those emails.

StartupDevKit may use third-party services for payments, hosting, analytics, email communications, AI processing, customer support, platform security, and other operational purposes.

17. Availability and Technical Issues

StartupDevKit aims to provide reliable access but does not guarantee uninterrupted, error-free, secure, or continuously available service.

The platform may be unavailable or degraded due to maintenance, updates, hosting issues, third-party service failures, internet disruptions, software bugs, security issues, or events outside our control.

StartupDevKit is not responsible for losses, delays, missed opportunities, business interruptions, or damages caused by service interruptions, technical errors, data loss, or temporary unavailability.

StartupDevKit does not warrant that:

The platform will meet your expectations
The platform will be uninterrupted, secure, or error-free
AI-generated outputs will be accurate or complete
Content will remain available indefinitely
Any defects will be corrected
Any specific business, financial, startup, or professional outcome will occur

19. Limitation of Liability

To the fullest extent permitted by law, StartupDevKit, Inc., its owners, officers, employees, contractors, affiliates, partners, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from or related to your use of StartupDevKit.

This includes damages related to:

Business decisions
Startup failure
Lost revenue
Lost profits
Lost data
Lost opportunities
Funding outcomes
Customer acquisition outcomes
Product, marketing, or strategy decisions
Use of AI-generated outputs
Reliance on educational materials
Third-party tools or websites
Platform interruptions
Account suspension or termination

To the fullest extent permitted by law, StartupDevKit’s total liability for any claim related to the platform or services will not exceed the amount you paid to StartupDevKit in the three months preceding the event giving rise to the claim, or one hundred dollars if you did not pay StartupDevKit during that period.

20. Indemnification

You agree to defend, indemnify, and hold harmless StartupDevKit, Inc., its owners, officers, employees, contractors, affiliates, partners, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

Your use or misuse of StartupDevKit
Your violation of these Terms
Your violation of any law or regulation
Your infringement of any third-party rights
Your submitted content or venture inputs
Your misuse of AI-generated outputs
Your unauthorized sharing, copying, or redistribution of StartupDevKit materials
Your use of third-party tools, websites, or resources

21. Suspension and Termination

StartupDevKit may suspend, restrict, or terminate your account or access to the platform at any time if we believe you have:

Violated these Terms
Failed to pay required fees
Shared account access improperly
Misused member-only content
Attempted unauthorized access
Scraped, copied, or redistributed materials
Abused AI tools or usage limits
Created legal, security, operational, or reputational risk
Used the platform in a way that harms StartupDevKit or other users

Upon termination, your right to access the platform, membership content, AI tools, downloads, saved materials, and related services may end immediately.

Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that should reasonably survive termination will continue to apply.

22. Copyright Concerns

StartupDevKit respects intellectual property rights.

If you believe content on StartupDevKit infringes your copyright, or if you believe StartupDevKit content is being used improperly elsewhere, please contact us with:
